Acceptance
By using Latere's products, websites, APIs, CLI, hosted services, or local software, you agree to these terms. If you do not agree, do not use our services.
Services
Latere provides software and hosted services for agentic engineering, agent governance, model access, sandbox compute, document processing, file storage, identity, websites, APIs, CLIs, SDKs, local applications, and related infrastructure. This includes current products such as Wallfacer, Topos, Cella, Lux, Lectio, Drive, Latere Identity, and the latere CLI, plus beta or preview features we may offer. Some services are hosted, some run locally, and some are open source. Hosted features may be metered, usage-limited, or subject to a subscription plan.
Accounts and Access
You are responsible for your account, access tokens, CLI credentials, organization membership, and any activity performed through your credentials. You must keep credentials secure and promptly revoke or report credentials you believe are compromised.
Your Responsibilities
- You are responsible for the code and content you submit to our tools.
- You must not use our services for unlawful purposes.
- You are responsible for maintaining the security of your account credentials.
- You must not attempt to bypass quotas, billing controls, rate limits, security controls, sandbox isolation, or access restrictions.
- You must not use Latere services to attack systems, exfiltrate data, violate third-party rights, or run workloads you are not authorized to run.
Product and Feature Terms
Identity and access. Latere Identity may provide sign-in, accounts, organizations, tokens, product access, and related security controls. You are responsible for authorizing users and integrations, maintaining accurate account information, and revoking access that is no longer needed.
Hosted compute and sandboxes. Services such as Cella may provide sandboxed workspaces, command execution, file import/export, logs, background runtimes, storage, and related APIs. You are responsible for the commands you run, files you upload, dependencies you install, credentials you attach, network access you authorize, and outputs you produce. Ephemeral and persistent resources may be stopped, deleted, rate-limited, or garbage-collected according to their tier, quota, deadline, or operational policy.
Model access and gateways. Services such as Lux may route requests to model providers, manage virtual keys, budget controls, logs, hooks, policy checks, or audit records. You are responsible for provider accounts, keys, prompts, inputs, outputs, model choices, and compliance with provider terms.
Agent governance. Services such as Topos may record, supervise, and control agent activity: runs, tasks, policies, approvals, and audit trails. Governance features support your oversight of agents; they do not transfer responsibility for what your agents do. You remain responsible for the agents you operate, the policies you configure, and the approvals you grant.
Documents and storage. Services such as Lectio and Drive may process documents you submit, produce structured data from them, and store files that you or your agents upload or create. You are responsible for having the rights to the documents and files you submit, for the accuracy-critical use of extracted data, and for how you share stored content.
Local software and clients. Products such as Wallfacer, CLIs, SDKs, or desktop applications may run locally and may also be governed by their open-source or product licenses. These terms apply to Latere-hosted features, accounts, downloads, updates, optional telemetry, and connected services.
Intellectual Property
You retain ownership of all code and content you create using our tools. Latere retains ownership of the tools and services themselves.
Open-source components remain governed by their applicable open-source licenses. These terms do not replace those licenses.
Third-Party Services
Latere products may integrate with third-party services such as model providers, source-control providers, payment processors, hosting providers, and identity providers. Your use of those services may be subject to their own terms and policies.
Fees and Billing
Paid features may be billed by subscription, metered usage, or another plan-specific basis. You authorize Latere and its payment provider to charge applicable fees, taxes, and usage charges for the plan or service you choose. Unless otherwise stated, fees are non-refundable except where required by law.
Availability and Changes
We may change, suspend, or discontinue products or features, including beta features, where needed for maintenance, security, abuse prevention, product evolution, or legal compliance. We aim to avoid unnecessary disruption but do not guarantee uninterrupted availability.
Limitation of Liability
Our services are provided "as is." We are not liable for any damages arising from the use of our products, including but not limited to code errors, data loss, or service interruptions.
Termination
You may stop using Latere services at any time. We may suspend or terminate access if you violate these terms, create security or abuse risk, fail to pay applicable fees, or if continued service would violate law or third-party rights.
